Terms & Conditions

These terms govern your use of the SpoQ conversational AI platform and the spoqai.com website, operated by SpoQAI, C-2, Sector 2, Noida, Uttar Pradesh, India. By using SpoQ or signing an order form with us, you agree to these terms.

1. What SpoQ is
SpoQ is a conversational AI agent that talks to your customers on your website, WhatsApp, and Instagram — answering questions, recommending products, handling support queries, and following up after purchase. It connects to your store and the tools around it so it can draw on live product, order, and customer information during a conversation.

2. Your account and responsibilities
You are responsible for the accuracy of the information you give us to configure SpoQ, including your product catalogue, policies, pricing, and brand guidelines. SpoQ answers customers based on what you provide, so outdated or incorrect information will produce outdated or incorrect answers.

You are responsible for keeping your account credentials secure and for the actions of anyone using your account. You must have the right to use any content, product data, or customer data you provide to us.

You must not use SpoQ to send unsolicited bulk messages, to mislead customers, or in any way that breaches the terms of WhatsApp, Instagram, or any other platform SpoQ operates on. Breaches of platform rules can result in your channel being suspended by that platform, which is outside our control.

3. Control and oversight
You set the boundaries within which SpoQ operates — what it may offer, what it must never say, and when it must escalate to a human. You can review conversations and intervene at any time.

SpoQ hands a conversation to your team when it cannot answer confidently, along with the full conversation history. You remain responsible for how your team handles escalated conversations.

4. AI-generated responses
SpoQ generates responses using AI. While we work to make those responses accurate and consistent with your brand, AI systems can produce errors. SpoQ's responses do not constitute professional advice of any kind, and we do not warrant that every response will be accurate or complete.

You should review conversations regularly and configure escalation rules appropriately for your business. Where a response could carry significant consequences for a customer — medical, legal, financial, or safety-related — you should require human review rather than relying on SpoQ alone.

5. Integrations
SpoQ connects to third-party tools at your instruction, including Shopify, payment providers, shipping providers, customer service platforms, CRM tools, returns, subscriptions, and reviews. Your use of those tools is governed by your agreement with each provider, not by us.

We are not responsible for the availability, accuracy, or behaviour of third-party services, or for any interruption caused by changes they make to their APIs or terms.

6. Data
You own your data. Every conversation between SpoQ and your customers belongs to your brand, not to us. You can export or delete conversation data at any time.

We do not use your conversation data to train models used for any other customer.

For customer conversations, you are the data controller and we act as your data processor, under a Data Processing Agreement signed with each client. How we handle personal data is set out in our Privacy Policy, which forms part of these terms.

7. Term and termination
On termination, we will make your conversation data available for export for 30 days, after which it will be deleted.

We may suspend the service if you breach these terms materially, or if your use puts our platform or another client at risk. Where practical, we will tell you first and give you a chance to fix it.

8. Service availability
SpoQ depends on third-party platforms and infrastructure. We are not liable for downtime caused by WhatsApp, Instagram, your connected tools, or your own systems.

9. Intellectual property
We own the SpoQ platform, software, and everything we build into it. You own your brand content, product data, and customer data. Nothing in these terms transfers ownership either way.

You grant us the limited right to use your content and data only as needed to provide the service to you.

10. Confidentiality
Each side will keep the other's confidential information confidential, and use it only for the purposes of the agreement. This does not apply to information that is already public, independently developed, or required to be disclosed by law.

11. Liability
Neither side is liable for indirect or consequential losses, including lost profits, lost revenue, or lost business opportunity.

12. Changes to these terms
We may update these terms from time to time. Material changes will be notified to clients directly, and the date at the top of this page will change. Continued use of SpoQ after a change means you accept the updated terms.

13. Governing law
These terms are governed by the laws of India, and the courts of Delhi have exclusive jurisdiction.
